TERMS AND CONDITIONS OF USE

Throughout this Agreement, the words "I," "you" and "your" will refer to you, the user of our website.

By using our website, you agree to the terms of this Privacy Policy and Terms of Use, including our Member Pledge found at http://www.hmoobdating.com/ (all of which together constitute this Agreement). USAGE CONSTITUTES ACCEPTANCE AND BY CLICKING ON THE BUTTON AT THE END OF YOUR SIGN-UP FORM YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL THE PROVISIONS CONTAINED IN THIS AGREEMENT, YOU CAN NOT USE THE SERVICE. SUBSCRIPTION TO THE SERVICE IS VOID WHERE PROHIBITED.

Billing Information

I agree to be billed by Hmoob Enterprise, Co., through an online account (my "Billing Account") for use of the service. I agree to pay Hmoob Enterprise, Co., all charges at the prices then in effect under my Agreement for any use of the service under My Account, and I authorize Hmoob Enterprise, Co., to charge my chosen payment provider (my "Payment Method") for the service. I agree to make payment using that selected Payment Method. I understand that Hmoob Enterprise, Co., reserves the right to correct any errors, mistakes or omissions it makes in billing me, even if it has already requested or received payment.

I understand that most subscription plans to the service consist of an initial period, for which there is a one-time charge, followed by recurring period charges as agreed to by me. By entering into this Agreement, I acknowledge that my subscription has an initial and recurring payment feature and I accept responsibility for all recurring charges prior to cancellation. I AUTHORIZE HMOOB ENTERPRISE, CO., TO SUBMIT PERIODIC CHARGES (E.G., EVERY 30 DAYS) WITHOUT FURTHER AUTHORIZATION FROM ME, UNTIL I PROPERLY PROVIDE PRIOR NOTICE TO HMOOB ENTERPRISE, CO., THAT I AM CANCELLING THIS AUTHORIZATION, THAT I WISH TO CHANGE MY PAYMENT METHOD OR THAT I WISH TO CANCEL MY SUBSCRIPTION. I MAY ALSO CANCEL MY SUBSCRIPTION BY FOLLOWING THE LINK ON THE MY ACCOUNT PAGE. I AGREE THAT SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE HMOOB ENTERPRISE, CO., REASONABLY COULD ACT AND THAT ALL CANCELLATIONS WILL TAKE EFFECT AT THE END OF MY THEN-CURRENT RENEWAL PERIOD.

I understand that my subscription to the Service will be automatically extended for successive renewal periods of approximately the same duration as the subscription term originally selected, at the then-current non-promotional subscription rate. I understand that I will not receive renewal reminders prior to being charged for such renewals, and renewal prices are subject to change without notice. To change or terminate my account and cancel my subscription at any time, I agree to contact Hmoob Enterprise, Co., via telephone or the link provided on My Account page to cancel. I understand that if I terminate my account and my subscription, I may use my subscription until the end of my then-current subscription term; I understand my subscription will not be renewed after my then-current term expires. However, I understand I won’t be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. In the event I terminate my account and/or cancel my subscription or Hmoob Enterprise, Co., terminates my account and cancels my subscription to the Service because I have breached this Agreement, I agree that all fees then paid to Hmoob Enterprise, Co., are non-refundable.

I AGREE TO CONTINUALLY PROVIDE CURRENT, COMPLETE AND ACCURATE INFORMATION FOR MY BILLING ACCOUNT (SUCH AS A BILLING ADDRESS, CREDIT CARD NUMBER, OR CREDIT CARD EXPIRATION DATE), AND I AGREE TO PROMPTLY NOTIFY HMOOB ENTERPRISE, CO., IF MY PAYMENT METHOD IS CANCELED (FOR ANY REASON), UNAVAILABLE TO ACCEPT MY CHARGES OR IF I BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF MY USER NAME OR PASSWORD. IF I FAIL TO PROVIDE HMOOB ENTERPRISE, CO., ANY OF THE FOREGOING INFORMATION, I AGREE THAT HMOOB ENTERPRISE, CO., MAY CONTINUE CHARGING ME FOR, AND I SHALL OWE ALL FEES ASSOCIATED WITH, ANY USE OF THE SERVICE UNLESS AND UNTIL I HAVE PROPERLY CANCELLED MY SUBSCRIPTION FOR THE SERVICE.

Payment Method.

I understand the terms of my payment will be based on my Payment Method and may be determined by agreements between me and the financial institution, credit card issuer or other provider of my chosen Payment Method (the "Payment Method Provider"). If Hmoob Enterprise, Co., does not receive payment from my Payment Method Provider, I agree to pay all amounts due on my Billing Account upon demand. If such amounts are not immediately paid, I understand and agree that Hmoob Enterprises, Co., may discontinue my access to their website(s) immediately and without relinquishing any right it may have at law or equity to collect all sums past due.

I acknowledge and agree that my non-cancellation of my subscription or continued use of the Service reaffirms that Hmoob Enterprise, Co., is authorized to charge my Payment Method. I agree that Hmoob Enterprise, Co., may submit those charges for payment and I will be responsible for such charges. I understand this does not waive Hmoob Enterprise, Co.,'s right to seek payment directly from me. I agree my charges may be payable in advance, in arrears, per usage, or as otherwise described.

Free Trials

I understand that any free trial or other promotion that provides subscriber-level access to the Service must be used within the specified time of the free trial. I understand that if I sign up for a “free trial,” my free trial will automatically convert into a continuous paid monthly subscription at the end of the applicable free trial period unless I properly cancel before the end of the free trial period by contacting Hmoob Enterprise, Co., via telephone or via the link on My Account page to cancel. I understand that I must properly cancel my free trial before the end of the free-trial period in order to avoid being charged a subscription fee.

Changes to This Agreement

I understand and agree that it is my sole responsibility to visit the "Terms of Use" link on My Account page to periodically review the most current terms and conditions. HMOOB ENTERPRISE, CO., MAY UPDATE THIS AGREEMENT AT ANY TIME WITHOUT NOTICE. I AGREE TO REVIEW THIS AGREEMENT PERIODICALLY TO BE AWARE OF SUCH MODIFICATIONS. MY CONTINUED USE OF THE SERVICE CONSTITUTES ACCEPTANCE OF THE CHANGES AND REVISIONS TO THIS AGREEMENT. My use of the Service is also subject to additional guidelines or rules posted in certain areas of the Service. These additional guidelines and rules are incorporated into this Agreement by reference. IF I OBJECT TO ANY TERMS OR CONDITIONS OF THIS AGREEMENT OR ANY SUBSEQUENT MODIFICATIONS, OR IF I BECOME DISSATISFIED WITH THE SERVICE IN ANY WAY, I AGREE THAT MY SOLE RECOURSE IS TO: (1) DISCONTINUE USE OF THE SERVICE; (2) CANCEL MY SUBSCRIPTION; AND (3) PROPERLY NOTIFY OUR CUSTOMER SERVICE DEPARTMENT OF MY CANCELLATION AS REQUIRED BY THE TERMS OF THIS AGREEMENT.

Copyright and Limitations On Use

I understand, acknowledge and agree that, as between me and Hmoob Enterprise, Co., the content displayed on our website ("Content") is the property of Hmoob Enterprise, Co., or its licensors, and is protected by copyright, trademark and other intellectual property laws. This website and the Content may be used only for my personal and non-commercial use. I agree not to copy, reproduce, modify, display, perform, publish, translate, create derivative works based upon or store any Content from the website. I also agree not to distribute, transmit, broadcast or circulate any Content from the website to anyone, including but not limited to someone else in the same company or organization, without the express prior written consent of Hmoob Enterprise, Co. I shall not post any Content from the website to forums, newsgroups, mail lists, electronic bulletin boards or other websites. The website includes facts, views, opinions and recommendations of consultants, individuals and organizations deemed of interest to our users and members. Hmoob Enterprises, Co., and its Content licensors do not guarantee or warrant the accuracy, completeness or timeliness of, or otherwise endorse, these views, opinions and recommendations.

I understand and agree that the service provided by Hmoob Enterprise, Co., may change from time to time and that Hmoob Enterprise, Co., has the right to modify, change, suspend or discontinue temporarily or permanently any service offered, or any part thereof, without notice, including but not limited to changes to access and use procedures. I understand and agree that Hmoob Enterprise, Co., shall not be liable to me or any third party for any modification, change, suspension or discontinuance of the service. I also understand that, in order to protect the integrity of the service, Hmoob Enterprise, Co., reserves the right at any time in its sole discretion to block members or subscribers from certain IP addresses from accessing their websites or any services thereon.

U.S. Export Controls.

Software from this website including software associated with the Service (the "Software") is subject to U.S. export laws. No Software may be downloaded from the website or through the Service or otherwise exported or re-exported: (1) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other Country to which the U.S. has embargoed goods; or (2) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals; or (3) anyone on the U.S. Commerce Department’s Table of Deny Orders. BY DOWNLOADING OR USING THE SOFTWARE, I AGREE TO THE FOREGOING RESTRICTIONS, AND I REPRESENT AND WARRANT THAT I AM NOT LOCATED IN, UNDER THE CONTROL OF, OR A NATIONAL OR RESIDENT OF ANY SUCH COUNTRY OR ON ANY SUCH LIST.

Content Review; No Duty to Monitor.

Although I understand and acknowledge that Hmoob Enterprise, Co., has no duty to prescreen, control, monitor or edit the content posted by members or subscribers using the Service and is not liable for content that is provided by others, I agree and understand that Hmoob Enterprise, Co., may, but is not required to, review, edit and delete any content, email, messages, photos or profiles that, in Hmoob Enterprise, Co.'s sole judgment, violates this Agreement or which may be offensive, illegal, unsafe or that might violate the rights of other members or subscribers. If I am using the Service without cost (e.g., through a free trial or other form of free membership privileges), then I also agree that: (1) I will not share an email address, instant message address or other similar address with Hmoob Enterprise, Co., members or subscribers other than my http://www.hmoobdating.com/ email address; and (2) Hmoob Enterprise, Co., has the right to (a) immediately terminate access to my account and/or remove my profile from viewing, and/or (b) remove any such address from my email or other communications and/or to substitute my www.hmoobdating.com shall be decided under Colorado Law, without reference to its conflict of laws principles, and shall be heard in Jefferson County, Colorado.
